Service Agreement (Template)
This Service Agreement (“Agreement”) is entered into between:
- APEX Labs Consulting LLC, 1209 Mountain Road Pl NE, Ste H, Albuquerque, NM 87110, USA (“APEX”), and
- Client: [Client Legal Name], [Address] (“Client”).
1) Term
Start date: as stated on the Client’s first invoice. Term: monthly for Level 1, quarterly for Level 2, and per engagement for Level 3, renewing automatically for successive periods unless terminated under Section 6.
2) Services & deliverables
Client selects one of the following:
- Level 1 — Weekly Guidance: one tailored strategy email per week, a monthly AI opportunity scan, and a consolidated monthly report.
- Level 2 — Core Engagement: quarterly review of financials and operations, a written 90-day roadmap, and one AI implementation per quarter.
- Level 3 — Executive Intensive: full strategic and financial review, sessions with founders and key decision-makers, AI systems architecture, and a 30/60/90-day execution plan.
3) Fees & payment
Fees (EUR), as published at apexlabsconsulting.xyz:
- Level 1 — Weekly Guidance: €499 per month, billed monthly in advance.
- Level 2 — Core Engagement: €2,999 per quarter, billed quarterly in advance.
- Level 3 — Executive Intensive: €5,999 per engagement, billed on commencement.
Invoices are due upon receipt unless stated otherwise, and are payable by bank transfer to the account stated on the invoice. Prices exclude any taxes payable by the Client in its own jurisdiction; for business clients established in the EU, the VAT reverse charge under Article 196 of Directive 2006/112/EC applies.
4) Client obligations
Client agrees to provide accurate data, timely responses, and any materials reasonably required to deliver the services.
5) Confidentiality
Both parties will keep confidential information private and use it only for the purpose of this engagement.
6) Termination
Either party may terminate for convenience with 30 days’ written notice, effective at the end of the current billing period. Fees for work already delivered are non-refundable.
7) Intellectual property
Client retains ownership of its data. APEX retains ownership of its frameworks, templates, and methodologies. Client receives a non-transferable license to use delivered materials internally.
8) Limitation of liability
APEX provides strategy and operational guidance, not guarantees. Liability is limited to fees paid for the relevant service period, to the maximum extent permitted by law.
9) Governing law
This Agreement is governed by the laws of the State of New Mexico, USA.
