Service Agreement (Template)
This Service Agreement (“Agreement”) is entered into between:
- APEX Labs Consulting LLC, 1209 Mountain Road Pl NE, Ste H, Albuquerque, NM 87110, USA (“APEX”), and
- Client: [Client Legal Name], [Address] (“Client”).
1) Term
Start date: [Date]. Term: [Monthly / Quarterly / Project]. Either party may terminate with written notice according to Section 6.
2) Services & deliverables
Client selects one of the following:
- Level 1 — Weekly Strategy Email: 1 tailored strategy email per week.
- Level 2 — Quarterly Balance & Strategy Review: quarterly review + written 90-day roadmap + follow-up email.
- Level 3 — In-Person Strategic Implementation: intensive engagement + in-person application (logistics and schedule defined in writing).
3) Fees & payment
Fees (USD): [Insert amount]. Billing cadence: [Monthly / Quarterly / One-time]. Invoices due upon receipt unless stated otherwise.
4) Client obligations
Client agrees to provide accurate data, timely responses, and any materials reasonably required to deliver the services.
5) Confidentiality
Both parties will keep confidential information private and use it only for the purpose of this engagement.
6) Termination
Either party may terminate for convenience with [X days] notice. Fees for work delivered are non-refundable.
7) Intellectual property
Client retains ownership of its data. APEX retains ownership of its frameworks, templates, and methodologies. Client receives a non-transferable license to use delivered materials internally.
8) Limitation of liability
APEX provides strategy and operational guidance, not guarantees. Liability is limited to fees paid for the relevant service period, to the maximum extent permitted by law.
9) Governing law
This Agreement is governed by the laws of the State of New Mexico, USA.
